Special Counsel

HarperLloyd Recruitment is currently partnered with a national commercial law firm to appoint a Special Counsel into its Sydney Corporate & Commercial practice.

This is a rare opportunity for a senior corporate lawyer seeking genuine progression toward Principal within a commercially focused and relationship-driven practice.

The firm operates nationally across Sydney, Melbourne, Brisbane, Adelaide, Perth, Darwin and Hobart, with an established client base and consistent workflow across commercial advisory, banking & finance and transactional matters.

The role

• advising on commercial and strategic business matters
• drafting and negotiating commercial agreements
• advising on governance, risk and commercial structuring
• handling business acquisitions and sale transactions
• advising on share sale and purchase agreements
• assisting on banking and finance matters, including loan and facility agreements
• working closely with business owners and decision-makers
• building and strengthening long-term client relationships
• leading and mentoring direct reports as well as the wider team

This role is highly relationship-driven. The successful lawyer will spend significant time becoming embedded with clients and operating as a trusted commercial adviser, rather than purely delivering isolated transactional work.

About you

• senior Corporate & Commercial lawyer (typically Special Counsel level or equivalent)
• strong experience across commercial advisory and transactional matters
• commercially pragmatic and relationship-focused approach
• ability to engage directly with sophisticated clients and stakeholders
• interest in leadership and long-term practice growth
• strong technical drafting and advisory capability
