We are currently partnering with an ASX-listed financial services business in their search for a senior Company Secretary. This is a highly visible role to the General Counsel & Group Company Secretary with regular engagement at Board and Executive level.

Key Responsibilities

  • Lead and oversee the company secretarial function, supported by dedicated administrative resources.
  • Manage the end-to-end Board and Committee meeting process, including agendas, board papers, minutes, and action items.
  • Provide advice on corporate governance, directors' duties, ASX Listing Rules, continuous disclosure obligations, and Corporations Act compliance.
  • Review and coordinate Board materials to ensure they are clear, aligned, and support effective decision-making.
  • Maintain statutory registers and ensure all ASIC and ASX filings are completed accurately and on time.
  • Coordinate annual Board and Committee performance reviews.
  • Manage director-related matters including appointments, inductions, training, re-elections, and cessations.
  • Support the preparation of annual reporting, governance disclosures, and broader stakeholder communications.
  • Partner with the business on governance frameworks, policies, risk management, and compliance initiatives.
  • Drive best-practice governance processes and continuous improvement across the organisation.
  • Act as a key point of contact for regulators, shareholders, directors, and external stakeholders.

About You

  • Proven experience as a Company Secretary, ideally within an ASX-listed organisation.
  • Strong knowledge of corporate governance, the Corporations Act, ASX Listing Rules, and continuous disclosure requirements.
  • Relevant legal and/or governance qualifications.
  • Confident engaging with Boards, senior executives, and external stakeholders.
  • Strong organisational skills with the ability to manage multiple priorities and deliver high-quality outcomes.
  • Financial services, funds management, or listed entity experience will be highly regarded.
