The Opportunity
Working closely with the other lawyers in the Corporate & Commercial team, you will have exposure to a wide range of commercial matters, including:
· All stages of business sales and acquisitions and share and unit transactions;
· Preparing and negotiating commercial contracts including shareholder and unitholder agreements, supply, services, consultancy and distribution arrangements;
· Assisting in corporate advisory and governance matters, including corporate restructures, Duty advice, director and shareholder approvals and ASIC requirements.
The Candidate
The ability to run files with guidance from other lawyers;
· Exposure to business sales, share/unit transactions, restructures, corporate advisory work or similar transactional matters;
· Interest in structuring advice, including companies, trusts, partnerships, shareholder/unitholder arrangements and related governance considerations;
· Ability to assist with corporate governance matters, including company secretarial work, resolutions, consents, ASIC requirements and director/shareholder approvals;
Criteria
· A minimum of two (2) years PAE in corporate and commercial work;
· A can-do, proactive attitude and the confidence to try your hand at new areas of law;
· The initiative and desire to take ownership of files and clients.
· A desire to be mentored
· A proactive approach to work;
· Excellent communication skills; and
· Attention to detail, be highly organised and have excellent file management skills.
